A Letter From Our CEO: RockWallet Is Becoming MNEE App
RockWallet

A letter to our customers and partners

To our customers, partners and friends,

A lot has been changing in our business over the last few months as our company evolves. Rather than piece things together from our app, or on social media, I wanted to put everything together in one place. Here is where we are today, and what you can expect from us next.

The short version: We've been busy building one app for your crypto and your everyday money, with banking*, everyday payments, rewards and your crypto portfolio in the same place. As part of this evolution, we'll be rebranding from RockWallet to MNEE App, and serving customers in most US states.

Banking, in the app you already use

We're adding banking to the app through a US sponsor bank*. MNEE App will add a checking account to the app you already use, so you can get paid, spend, and hold crypto in one place**. Deposits in the checking account will be FDIC insured up to applicable limits.*

With direct deposit, your payroll and gig payments can land right in the app. You'll get a debit card, and you'll be able to connect your other US bank accounts so money moves smoothly between crypto** and dollars. You'll also earn rewards*** for using the debit card and your MNEE Account.

The MNEE Account is a stablecoin account in the app. At least initially, it will hold Open USD, a stablecoin I'll tell you more about below, and it will earn enhanced rewards for using it. Your crypto and stablecoin balances, including your MNEE Account, are not FDIC-insured**.

Beta sign-ups and the waitlist are open now. We expect to roll out the beta in December. Because we're offering bank accounts through our partner bank, US banking laws and regulations require us to verify who every customer is. That verification also helps protect you and your money from fraud.

Your account and the new name

RockWallet will become MNEE App when banking launches. If you're on RockWallet 2.0, you don't have to do anything. You'll keep the same passkey or username and password. After an ordinary app store update, the look and feel will change, and direct deposit, debit card and rewards will appear as additional features.

I know the move from RockWallet 1.0 to 2.0 was frustrating for many of you, and I hear that. This change is different. The platform underneath isn't changing, only the front end, so it should feel seamless. RockWallet 2.0 and MNEE App also have lower fees than RockWallet 1.0.

The MNEE token

A quick note on names, because it can be confusing. MNEE App is our brand, and the MNEE Account is the stablecoin account I described above. The MNEE token, the stablecoin we issued, will be retired on November 30, on both 1Sat Ordinals and ERC-20. The MNEE name continues. The token doesn't.

Why retire it? Larger stablecoins are already widely used, which makes it tough for a new one to gain broad adoption, and demand for MNEE on 1Sat Ordinals has been low. The GENIUS Act adds consumer protections we welcome, and it also raises the cost and complexity of operating a stablecoin at our size.

So we're changing course. We've signed an agreement to use Open USD in the MNEE Account. Open USD is issued by Bridge and was created by Open Standard. Platforms such as Coinbase, Mastercard, Shopify, Stripe and Visa are founding members of Open Standard. We chose it because it works with more apps and payment networks than MNEE did. MNEE App may receive compensation through this arrangement, some of which we'll use to fund rewards for our customers.

We also plan to offer rewards on the MNEE Account. Rewards are offered by MNEE App LLC, are separate from the stablecoin itself, and come with terms, which we'll share in full before launch. Open USD, like any crypto asset, isn't FDIC insured and can lose value.

If you hold MNEE, on either 1Sat Ordinals or ERC-20, you have two options: sell or swap it into other stablecoins or crypto assets, or redeem it 1 to 1 for USDC. If it's in either of the RockWallet apps, you have until November 30. If it's in another wallet, you have until December 31: email support@rockwallet.com and we'll convert it for you. This applies to MNEE holders in the US and internationally. If you can't swap or sell in the app, for example if your RockWallet 1.0 account isn't fully verified or you're an international customer, our support team can do it for you. Conversions through support of $100 or more need an ID check if you are not already ID verified.

If you don't act, we'll take care of it. If you hold ERC-20 MNEE in another wallet, any balance left after December 31 will be converted to USDC on January 4 and sent (air dropped) to the same address. We don't add a spread to any swap out of MNEE.

The decision to wind down our stablecoin issuance business is a commercial decision and will not have an impact on the availability of any other existing token on the platform. Customers will be able to continue buying, selling, swapping and holding BTC, BSV, BCH and many more.

Closing RockWallet 1.0

If you're still on RockWallet 1.0, there are two dates to know. Buy crypto will stop on Monday, November 16. Swap will be available until Monday, November 30, so you can swap out of MNEE. Everything else closes on Monday, December 7.

With RockWallet 1.0, you hold your own seed phrase, and RockWallet never has any part of your private keys. That means your assets are yours to move. We'd like you to move to RockWallet 2.0 if you live in a US state we support. The easiest way is to send your crypto from RockWallet 1.0 to your RockWallet 2.0 account.

If you live in a state we don't support yet, or you'd rather use another wallet, the process is similar: just send your crypto from RockWallet 1.0 to your other wallet, before December 7. As an alternative, you may be able to import your seed phrase into another wallet, but that's less convenient, so we'd much rather you send your crypto out. If you do use your seed phrase, keep a safe copy and never share it with anyone, including us. If you hold MNEE tokens, you can swap them to another stablecoin or crypto asset before November 30. Any MNEE tokens, ERC-20 or 1SAT, still in RockWallet on November 30 will become unspendable and we'll airdrop the equivalent USDC on ERC20 in your RockWallet app. This is because other wallets may not support MNEE.

If you live outside the United States, whether you use our international app or the US version, we can no longer serve you. The same dates apply. Please send your assets from RockWallet 1.0 to a different wallet where you can hold and use them, before December 7 at the absolute latest, and sooner is better. If you need help, contact customer support at support@rockwallet.com.

Moving to full custody in 2027

In 2027, MNEE App will move to a fully custodial model, where we safeguard your assets for you. We hold the US money transmitter licenses we need to offer this.

We believe this is safer for most people. When customers hold their own keys and seed phrases, lost keys mean lost tokens. I respect people who prefer to hold their own keys, and I won't pretend this change comes without tradeoffs. In return, you can expect lower fees, faster Swaps, Buys and Sells, and new tokens and chains added much faster. You'll also be able to spend and make payments from your stablecoin, crypto or dollar balance with the debit card. The move will be seamless, and we'll give you plenty of notice.

Business banking, next year

Next year we'll launch MNEE App Business, built to help businesses accept crypto and stablecoin payments and see dollars in their checking account, with the banking features they expect.

What happens next

I plan to be much more present on X (@ron_tarter) and LinkedIn as CEO of MNEE App, and I'd like to hear from you there. If you have questions about any of this, reach out to our support team at support@rockwallet.com and we'll walk you through it step by step.

Thank you for being part of this. We're building something I'm proud of, and I'm glad you're on the journey with us.

Ron Tarter
